These Terms of Service ("Terms") form a binding agreement between you and Capflo ("Capflo," "we," "us," or "our") governing your access to and use of the Capflo website, valuation tools, dashboards, and related services (collectively, the "Service"). By creating an account, submitting business information, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Capflo provides software tools that generate informational estimates of small business market value based on user-provided inputs, connected third-party data sources, and reference data including comparable transaction benchmarks. The Service is intended to help business owners and their advisors form a directional view of value. The Service is not a regulated business appraisal, fairness opinion, securities valuation, accounting service, tax service, legal service, brokerage service, or investment advisory service.
You must be at least 18 years old and authorized to bind any business on whose behalf you submit information. By using the Service, you represent that you meet these requirements and that all information you provide is accurate to the best of your knowledge.
You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms, that we reasonably believe have submitted false information, or that we believe pose a risk to us or other users.
You grant Capflo a non-exclusive, worldwide, royalty-free license to host, process, analyze, and use the data you submit or connect ("Your Data") to operate and improve the Service, including to: (a) generate and refresh estimates for your account; (b) produce de-identified, aggregated benchmarks used to improve estimates for all users; (c) comply with legal obligations; and (d) provide features you request, such as advisor sharing. The Service integrates with third-party platforms (e.g., banking data providers, accounting software, real estate data providers). Your use of those platforms is governed by their own terms. We are not responsible for the accuracy, availability, or actions of third-party providers.
The estimates and other outputs of the Service are informational only and do not constitute, and should not be relied upon as: (a) a regulated business appraisal under USPAP or any equivalent professional standard; (b) financial, investment, tax, accounting, or legal advice; (c) an offer to buy, sell, or finance any business; (d) a guarantee, prediction, or representation of any sale price, loan terms, refinancing terms, or transaction outcome. You are solely responsible for any decisions you make based on outputs of the Service and should consult qualified professionals before acting on them.
If and when Capflo offers features that connect you with lenders, financing providers, or business buyers ("Capital and Marketplace Features"), Capflo acts solely as a technology platform that facilitates introductions and information exchange. Capflo is not a broker-dealer, investment adviser, business broker, lender, or party to any transaction between users and third parties. All terms, decisions, and obligations of any resulting transaction are solely between you and the counterparty.
You agree not to: (a) submit false, misleading, or fraudulent information; (b) use the Service to make decisions affecting third parties without their consent; (c) scrape, reverse-engineer, copy, or resell the Service or its outputs; (d) interfere with the Service's operation or security; (e) use the Service in violation of any applicable law.
The Service, including all software, models, methodologies, designs, and content (other than Your Data), is owned by Capflo or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.
The core valuation Service is currently free during early access. We may introduce fees for premium features (e.g., advanced reports, advisor sharing, capital introductions, marketplace listings) with notice. Fee changes apply prospectively only.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT. Without limiting the foregoing, Capflo does not warrant that estimates produced by the Service will accurately reflect any actual transaction price, that the Service will be uninterrupted or error-free, or that data from third-party sources is accurate or current.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CAPFLO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE — EVEN IF CAPFLO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Capflo's aggregate liability for all claims relating to the Service will not exceed the greater of (i) the amounts you paid us in the twelve months preceding the claim or (ii) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless Capflo and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of: (a) Your Data; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) decisions or transactions you undertake based on outputs of the Service.
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in New York, New York, before a single arbitrator. You and Capflo each waive the right to a jury trial and to participate in any class or representative action. Notwithstanding the foregoing, either party may bring an individual claim in small-claims court for matters within that court's jurisdiction, and either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Subject to Section 14, the state and federal courts located in New York County, New York have exclusive jurisdiction over any non-arbitrable disputes.
We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after the effective date constitutes acceptance.

Capflo takes the security of your business information seriously. This page summarizes the controls we have in place. It is informational and does not modify or supplement the binding terms in our Terms of Service or Privacy Policy.
All data transmitted to and from Capflo is encrypted in transit using TLS 1.2 or higher. Data stored in our systems is encrypted at rest using industry-standard algorithms (AES-256 or equivalent).
When you connect a third-party account (banking, accounting, payment, real estate, or CRM data), we use trusted aggregators and read-only credentials wherever possible. Capflo does not store your bank login credentials; authentication is handled by the relevant aggregator under its own security standards.
Internal access to user data is restricted on a least-privilege basis to personnel who require it for support, security, or legitimate operational purposes. Administrative access is protected by multi-factor authentication and logged for audit.
Capflo is hosted on enterprise-grade cloud infrastructure with physical security, environmental controls, and continuous monitoring. We follow defense-in-depth practices including network segmentation, vulnerability scanning, and regular patching.
We monitor for unauthorized access, anomalous activity, and other security events. We maintain an incident response process and will notify affected users of any confirmed security incident affecting their personal information in accordance with applicable law.
Capflo is working toward SOC 2 Type II certification. We will update this page as additional certifications and audits are completed. References to compliance frameworks elsewhere on the Service describe target states unless explicitly stated otherwise.
